·Drag-along – це право мажоритарного акціонера вимагати від міноритарного акціонера приєднатися до продажу акцій на тих же умовах і за тією ж ціною. Такі умови допоможуть у разі, якщо ви зацікавлені в 100% акцій компанії, а міноритарні акціонери відмовляються продавати свої акції. При цьому угода є ще однією додатковою гарантією повного дотримання фінансових інтересів мажоритарного акціонера.

·Drag-along is the right of a majority shareholder to require a minority shareholder to join the sale of shares on the same terms and at the same price. Such terms will help in case you are interested in 100% of the company’s shares, and minority shareholders refuse to sell their shares. In this case, the agreement is another additional guarantee of full compliance with the financial interests of the majority shareholder.
